Seda Electrical Ltd Terms and Conditions

1. Definitions

1. Customer / Client: The person or entity requesting electrical services.

2. Contract: The agreement between Seda Electrical Ltd (“Seda”) and the Customer including these Terms and any quotation, scope of works or written agreement.

3. PPSA: Personal Property Securities Act 1999 (NZ).

4. Services: Electrical contracting work performed by Seda.

2. Quotations & Estimates

1. Quotes are valid for 30 days unless otherwise stated.

2. Quotes are based on current material and labour rates. If costs increase due to external factors, Seda reserves the right to revise the quote.

3. Variations requested after acceptance of the quote will be billed as additional charges.

4. All quotes are exclusive of GST unless otherwise stated.

3. Scope of Work

1. Work is carried out according to the agreed scope.

2. Changes must be agreed in writing and may incur additional charges.

3. All materials remain the property of Seda until full payment is received.

4. Access and Site Requirements

1. The Customer must provide safe, clear access to the work areas.

2. Delays or site restrictions may incur additional charges.

5. Health & Safety

1. Seda operates under the Health and Safety at Work Act 2015.

2. The Customer must disclose any known site hazards.

3. Unsafe conditions may result in suspension of work.

6. Electrical Compliance

1. All work complies with the Electricity Act 1992 and Electricity (Safety) Regulations 2010.

2. Certificates (COC/ESC) will be provided where required.

7. Timeframes

1. Timeframes are estimates only.

2. Seda is not liable for delays beyond its control.

8. Payment Terms

1. Invoices are payable within the stated terms (7 or 20 working days).

2. Late payments incur 2.5% interest per month plus recovery costs.

3. Seda may suspend work for unpaid accounts.

9. Variations and Additional Work

1. Variations must be agreed in writing.

2. Unscheduled or urgent call-outs incur additional charges.

3. Unforeseen issues may result in cost increases.

10. Warranty and Defects

1. 12-month workmanship warranty applies from completion.

2. Manufacturer warranties apply to supplied goods.

3. Warranty excludes misuse, third-party damage, or acts of nature.

11. Liability

1. Seda is not liable for indirect or consequential losses.

2. Liability is limited to the value of the contract.

3. Customer indemnifies Seda against claims from standard performance.

12. Ownership and Risk

1. Risk passes to the Customer on delivery.

2. Title remains with Seda until full payment.

3. Seda may recover unpaid materials from site.

13. Personal Property Securities Act (PPSA)

1. These Terms constitute a PPSA security agreement.

2. Seda may register its interest and Customer waives notice rights.

14. Cancellation

1. Customer may cancel before work starts, but costs incurred will be charged.

2. Seda may cancel due to health & safety, non-payment, or site issues.

15. Intellectual Property

1. All designs and documents remain Seda’s property.

2. Illustrations are for reference only.

3. Seda is not liable for design visual inaccuracies.

16. Disputes

1. Disputes must be raised in writing within 10 working days.

2. Both parties agree to good faith negotiation.

3. Construction Contracts Act 2002 may apply.

17. Governing Law

1. These Terms are governed by New Zealand law.

2. Jurisdiction lies with the courts of New Zealand.

18. Acceptance

1. Engaging Seda implies acceptance of these Terms.
